These Terms and Conditions ("Terms") govern your use of the PawDX website, products, services, memberships, member portal, pet identification services, and related features (collectively, the "Services") provided by PawDX, LLC ("PawDX," "Company," "we," "us," or "our").

Please read these Terms carefully before using the Services. By accessing or using the Services, creating an account, purchasing a product or membership, or otherwise using PawDX, you agree to be bound by these Terms.

If you do not agree with these Terms, you should not use the Services.

2. Eligibility

You must be at least 18 years of age to create an account, purchase products or memberships, or otherwise use the Services.

By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. PawDX Services

PawDX provides pet health, wellness, identification, membership, and related products and services. Depending on the product or membership selected, Services may include access to pet wellness products, at-home testing or screening products, pet identification tools, member benefits, online account features, and other pet-related products or services offered by PawDX.

Specific products, services, benefits, features, eligibility requirements, limitations, and pricing may vary by membership or offering.

PawDX may add, modify, replace, or discontinue products, services, benefits, or features from time to time, subject to applicable law and any commitments associated with an active membership.

4. Accounts

Certain Services may require you to create a PawDX account or member profile. You agree to provide accurate, current, and complete information and to update your information when necessary.

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account. You should notify PawDX promptly if you believe your account has been accessed or used without authorization.

5. Pet Information

Some PawDX Services require information about your pet, which may include your pet's name, species, breed, age, health or wellness information, identification information, photographs, emergency contact information, or other information necessary to provide the applicable Service.

You are responsible for ensuring that information submitted to PawDX is accurate and current.

6. Purchases and Payment

PawDX offers products and services that may be purchased through one-time payments as well as memberships or subscriptions billed on a recurring basis.

By submitting payment information, you represent that you are authorized to use the payment method provided and authorize PawDX and its payment service providers to charge the applicable amounts.

Prices, fees, taxes, shipping charges, and other applicable costs will be presented at or before checkout.

PawDX may change pricing for future purchases or future membership billing periods. Any changes affecting an existing recurring membership will be handled in accordance with applicable law and any notice requirements.

7. Recurring Memberships

If you purchase a recurring PawDX membership, you authorize PawDX to automatically charge the payment method associated with your account for each applicable billing period until the membership is canceled.

Your membership will continue and renew according to its applicable billing cycle unless canceled.

You are responsible for maintaining a valid payment method associated with your membership. If payment cannot be processed, PawDX may suspend or terminate access to membership benefits until payment is successfully completed.

8. Membership Cancellation

PawDX memberships may be canceled at any time through your account, when that functionality is available, or by contacting PawDX at support@pawdxcare.com.

Cancellation becomes effective at the end of the current billing cycle. You will continue to have access to applicable membership benefits through the remainder of the billing period for which you have already paid.

PawDX does not provide partial or prorated refunds for the unused portion of a billing cycle that is already in progress.

Canceling a membership does not automatically initiate a return or refund for products previously purchased or shipped. Product returns and refunds are governed separately by the PawDX Return & Refund Policy.

9. Returns and Refunds

Returns, exchanges, and refunds for physical products are governed by the PawDX Return & Refund Policy.

Generally, unopened and unused products may be returned within 30 days of delivery, subject to the requirements of that policy.

For health, safety, and hygiene reasons, opened consumable, ingestible, or topically applied products may be considered final sale and may not be eligible for return or refund.

Single-use PawDX Oral Health Tests cannot be returned after use. PawDX may evaluate concerns regarding a test or testing experience on a case-by-case basis in accordance with the Return & Refund Policy.

Products that arrive damaged or defective, or orders containing an incorrect item, may qualify for replacement or refund in accordance with the Return & Refund Policy.

The PawDX Return & Refund Policy is incorporated into these Terms by reference.

10. Health and Wellness Information

Information, products, testing tools, screening tools, recommendations, educational materials, and other content made available through PawDX are intended to support pet health and wellness and are not intended to replace professional veterinary care.

Unless expressly stated otherwise, PawDX does not provide veterinary medical diagnosis or treatment.

You should consult a licensed veterinarian regarding questions about your pet's health, symptoms, medical conditions, medications, treatment, or other veterinary concerns.

If you believe your pet is experiencing a medical emergency, seek veterinary care immediately.

11. Pet Identification and Tag Services

PawDX may provide identification tags, QR codes, digital pet profiles, or other identification and recovery-related features.

These Services are intended to assist with identification and communication if a pet or its identification tag is encountered or scanned.

PawDX does not guarantee that a lost pet will be located, identified, recovered, or returned to its owner.

The availability and accuracy of information associated with a pet profile depend in part on the information provided and maintained by the pet owner.

12. SMS/Text Messaging Terms

13. Communications

In addition to communications you specifically authorize, PawDX may send communications necessary to administer your account, purchases, memberships, or Services, subject to applicable law and your communication preferences.

SMS pet tag scan notifications are subject to the separate consent and requirements described in Section 12.

14. Intellectual Property

The Services and their contents, features, functionality, software, graphics, designs, logos, trademarks, text, images, product names, and other materials owned or licensed by PawDX are protected by applicable intellectual property laws.

Except as expressly permitted by PawDX, you may not copy, reproduce, modify, distribute, sell, license, publish, display, create derivative works from, or commercially exploit PawDX intellectual property.

Nothing in these Terms grants you ownership of any PawDX intellectual property.

15. Acceptable Use

You agree not to use the Services:

• For unlawful, fraudulent, deceptive, or abusive purposes;
• To impersonate another person or misrepresent your identity;
• To interfere with or disrupt the operation or security of the Services;
• To attempt to gain unauthorized access to PawDX systems, accounts, or data;
• To upload or transmit malicious software or harmful code;
• To misuse pet identification or tag functionality;
• To violate another person's privacy or intellectual property rights; or
• In any manner that violates applicable law.

PawDX may suspend or terminate access to the Services if it reasonably determines that these Terms have been violated.

16. Third-Party Services

Certain PawDX Services may rely on or provide access to third-party products, websites, applications, payment processors, service providers, or other resources.

PawDX is not responsible for the availability, content, privacy practices, terms, or performance of independent third-party services.

Your use of a third-party service may be subject to separate terms and policies established by that provider.

17. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis.

Except for warranties expressly provided by PawDX or required by law, PawDX disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

PawDX does not warrant that the Services will be uninterrupted, error-free, completely secure, or available at all times.

Nothing in this section limits any warranty or consumer protection right that cannot legally be excluded or limited.

18. Limitation of Liability

To the fullest extent permitted by applicable law, PawDX, LLC and its owners, officers, employees, agents, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of, or inability to use, the Services.

This includes, without limitation, losses resulting from service interruptions, delayed or unavailable notifications, inaccurate information provided by users, third-party services, or the inability to locate or recover a lost pet.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

19. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless PawDX, LLC and its owners, officers, employees, agents, affiliates, and service providers from claims, liabilities, damages, losses, and reasonable expenses arising from your misuse of the Services, violation of these Terms, violation of applicable law, or infringement of another person's rights.

20. Suspension and Termination

PawDX may suspend or terminate your access to some or all Services if you materially violate these Terms, engage in fraudulent or unlawful activity, misuse the Services, or create a security or operational risk.

Termination does not eliminate payment obligations incurred before termination or provisions of these Terms that by their nature should survive termination.

21. Privacy

Your use of the Services is also subject to the PawDX Privacy Policy, which describes how PawDX collects, uses, and protects personal information.

The Privacy Policy is incorporated into these Terms by reference.

22. Changes to These Terms

PawDX may update these Terms from time to time.

When changes are made, PawDX will update the effective date displayed at the top of this page. When required by applicable law, PawDX will provide additional notice of material changes.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

23. Governing Law

These Terms and any dispute arising from or relating to the Services will be governed by the laws of the State of Louisiana, without regard to conflict-of-law principles, except where applicable law requires otherwise.

24. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect to the extent permitted by law.

25. Entire Agreement

These Terms, together with the PawDX Privacy Policy, Return & Refund Policy, and any additional terms presented in connection with a particular product, membership, or Service, constitute the agreement between you and PawDX regarding your use of the Services.
